A Learning and Development Listed Company is looking for a Company Secretary to head the Compliance
Experience Desired - 2-8 years of experience
Location - Mumbai, near CST station
Salary will be commensurate with capabilities and based on the increase in the current salary

Job Profile
Reporting to: Chief Financial Officer
The core duties include ensuring compliance in the company
Responsibilities-
Report to the CFO and often liaise with board members.
Prepare agendas and papers for board meetings, committees, and annual general
meetings(AGMs) and follow up on action points.
Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
Provide legal, financial, and/or strategic advice during and outside of meetings.
Ensure policies and regulatory or statutory changes that might affect the organization are up to date and approved by the committee.
Maintain statutory books, including registers of members, directors, and secretaries.
Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.
Liaise with external regulators and advisers such as lawyers and auditors.
Implement processes or systems to ensure good management of the organization.
Track compliance under various laws and liaise with the relevant consultants and
authorities.
COMPETENCIES:
Good Communication
Strong Interpersonal Skills and good stakeholder management
Business acumen and understanding of the business environment (added advantage)
Qualification ACS, LLB (Membership/Degree of the Institute of Company Secretaries of India (ICSI) or only ACS will do.
Sound knowledge of corporate and securities laws and their applicability
Knowledge of the governance framework around capital markets
excellent writing skills to be able to draft documents.
